Voxtell AI - Terms of Service

SIGNING UP FOR VOXTELL AI’S SERVICES CREATES A CONTRACT BETWEEN YOU AND US, CONSISTING OF THE ORDER, THE APPLICABLE SERVICE DESCRIPTION, AND THIS AGREEMENT. ANY ONE OF THE FOLLOWING ACTIONS CONSTITUTES YOUR ACCEPTANCE AND AGREEMENT TO BE BOUND BY THESE TERMS AND CONDITIONS:

1. ACCEPTING THE TERMS AND CONDITIONS ELECTRONICALLY DURING THE ORDERING PROCESS AND/OR UPON LOGGING ON TO USE YOUR SERVICE,
2. YOUR SUBMISSION OF AN ORDER, OR
3. YOUR USE OF THE SERVICE DESCRIBED HEREIN.

THROUGH THESE ACTIONS YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND ALL TERMS AND CONDITIONS INCORPORATED BY REFERENCE.

1. INTRODUCTION

These Terms and Conditions (“Agreement”) constitute the entire agreement between Voxtell AI, LLC, a Delaware corporation (“Voxtell AI,” “we,” “our,” or “us”) and you (“Customer,” “you,” or “user”) regarding your use of our services (“Services”). This Agreement supersedes all prior discussions and agreements.

2. DEFINITIONS

• Platform: The Voxtell AI software environment including dashboards, APIs, and integrations.
• Services: AI-powered tools such as virtual voice agents, chatbots, and automations.
• AI Agent: The customizable assistant using our AI technology.
• Customer Data: Your content, prompts, inputs, and related usage data.
• Documentation: Any official usage materials or onboarding guides.
• Subscription: Your recurring service plan and associated terms.
• User Account: Your individual login and configuration data.

3. REVISIONS TO TERMS AND PRICING

We may update these Terms or pricing at any time. Continued use after changes take effect constitutes acceptance.

4. CUSTOMER REPRESENTATIONS

You represent that:

• You are at least 18 years old;
• You are authorized to enter into this Agreement;
• Your use will comply with applicable laws and regulations;
• Your account and billing information is accurate and up to date.

5. USE OF SERVICES

• Services are for business/professional use only.
• You may not reverse-engineer, resell, misuse, or infringe any rights using the Services.
• You are responsible for your account activity.
• Use outside the U.S. is at your own risk.
• Feedback may be used by Voxtell AI without restriction.

6. SUBSCRIPTION AND TERM

• Your subscription activates upon account setup.
• It renews automatically unless canceled.
• You can cancel anytime; service continues until the end of the billing cycle.
• We may suspend/terminate for violations, non-payment, or legal reasons.

7. PAYMENT AND BILLING

• You agree to pay all applicable fees.
• Billing is in advance to your payment method.
• Taxes and third-party fees are your responsibility.
• We may suspend service for failed payments.
• All payments are non-refundable unless required by law.

8. DATA AND PRIVACY

• You retain ownership of your Customer Data.
• We use data to deliver and improve the Services.
• We implement safeguards, but no system is perfectly secure.

9. INTELLECTUAL PROPERTY

• We own all rights to the Services and Platform.
• You’re granted a limited, non-exclusive license for internal business use.
• You may not reproduce, alter, or sublicense any part of the Services.

10. DISCLAIMERS AND LIMITATION OF LIABILITY

• Services are provided “as is” with no warranties.
• Voxtell AI is not liable for indirect or consequential damages.
• Our liability is limited to fees paid by you in the last 12 months.

11. INDEMNIFICATION

You agree to indemnify Voxtell AI against any claims or liabilities arising from your use of the Services, your content, or your breach of this Agreement.

12. TERMINATION

• You can cancel anytime via your account.
• We may suspend or terminate your access for violations, non-payment, or legal issues.
• Upon termination, your data may be deleted, and all licenses granted to you will terminate.

13. GENERAL PROVISIONS

• Entire Agreement: This Agreement supersedes all prior terms.
• Governing Law: Delaware law governs this Agreement.
• Assignment: You may not assign your rights without permission. We may assign freely.
• Force Majeure: We are not liable for events beyond our control.

14. SMS COMMUNICATIONS CONSENT

By providing your phone number and agreeing to these Terms and Conditions, you consent to receive SMS messages from Voxtell related to account notifications, service updates, promotional offers, and other important communications. Message frequency may vary. Message and data rates may apply.
